These Terms of Service (“Terms”) govern your access to and use of the website and services (the “Services”) of bidRAIL, LLC (“bidRAIL,” “we,” “us”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

What bidRAIL provides

bidRAIL operates a marketplace that connects carriers, contractors, homeowners, and real estate professionals, coordinates property measurements, and facilitates competitive bids. bidRAIL is not a contractor, insurer, public adjuster, lender, or law firm, and does not itself perform construction work.

Bids and agreements

Bids are competitive prices submitted by independent contractors. The terms of any project, repair, payment, or warranty are governed by the separate agreement between the parties. Estimates, pricing, and timelines provided through the Services are not guarantees.

Eligibility & your responsibilities

You must be able to form a binding contract to use the Services. Contractors must hold the licenses and insurance required for their work. You agree to provide accurate information, to use the Services lawfully, and not to misuse, disrupt, or attempt to gain unauthorized access to the Services.

No professional advice

Content on the Services is general information and is not legal, insurance, financial, or tax advice. You are responsible for coverage decisions with your carrier and for obtaining your own professional advice.

Third parties

Contractors, carriers, and other users are independent third parties. bidRAIL is not responsible for their acts or omissions and is not the contractor of record unless expressly stated. Any warranties are provided by the contractor or manufacturer.

Intellectual property

The Services and their content are owned by bidRAIL or its licensors and are protected by law. You may not copy, modify, or distribute them except as permitted.

Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, bidRAIL will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from your use of the Services.

Indemnification

You agree to indemnify and hold bidRAIL harmless from claims arising out of your use of the Services or your violation of these Terms.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute arising from these Terms or the Services.
